1. General Terms & Conditions of Business
1.1 Quotes & Prices
1.1.1. All quotes/estimates are valid for 30 days from the date of submission.
1.1.2. Quotes/estimates are based on the information provided by the Client, including but not limited to quantities, structure, scope, and functionality. Any quote may be subject to change should the client’s requirements change at any time.
1.1.3. Quotes are based on Agency 11:11’s current costs of production and, unless otherwise agreed, are subject to amendment at any time after acceptance to meet any rise or fall in such costs.
1.1.4. Any estimates given by Agency 11:11 as to completion or performance times are estimates only and time shall not be of the essence.
1.1.5. Any stated timeline is reliant upon the Client providing all required information, content, and materials within the agreed timeframe.

1.2 Methods
1.2.1. Agency 11:11 reserves the right to subcontract the fulfilment of any order or part thereof.
1.2.2. Any images supplied electronically will be incorporated into designs free of charge provided they are of suitable quality. Images sourced from external image libraries may incur additional licence fees payable by the Client.
1.2.3. Should the Client supply text, artwork, or images, Agency 11:11 is not obliged to edit or verify correctness, and the end product is at the Client’s own risk.
1.2.4. The Client shall indemnify Agency 11:11 against all claims, costs, or expenses arising from any infringement of copyright, patent, design, or other rights contained in any material supplied by the Client.

1.3 Invoices, Payment & Termination
1.3.1. Payment must be made within 30 days of the invoice date unless otherwise agreed in writing.
1.3.2. All work remains the property of Agency 11:11 until payment has been received in full.
1.3.3. Agency 11:11 may charge for additional costs incurred due to the Client’s delay or default.
1.3.4. When payment is overdue, Agency 11:11 may suspend work, services, and/or delivery without notice until payment is received.
1.3.5. A 50% deposit may be required before work commences for new clients or large/complex projects, with the balance due upon completion.
1.3.6. Returned or failed payments will incur a fee of AED 250 per occurrence.
1.3.7. Any cancellation must be made in writing to accounts@agency1111.com
with 30 days’ notice and is subject to full payment of any fees due through the minimum agreement period.
1.3.8. Payments made to Agency 11:11 are non-refundable, as the Agency commits resources and enters into supplier agreements upon confirmation.
1.3.9. Proof of services delivered may include client meetings, WhatsApp/email correspondence, time logs, or production timestamps.

1.4 Proofing
After approval, the Client shall have no claim against Agency 11:11 for errors in the approved material.

1.5 Insolvency
If the Client becomes insolvent, ceases trading, or cannot pay debts as they become due, Agency 11:11 may:
1.5.1. Cease all work immediately and charge for completed work and materials used.
1.5.2. Retain a general lien on all goods or property in its possession and, after 14 days’ notice, dispose of such goods to recover outstanding debts.

1.6 Force Majeure
Agency 11:11 shall not be liable for delays or failures caused by circumstances beyond its control, including but not limited to natural disasters, strikes, war, or supplier failure.

1.7 Information Provided by You
1.7.1. You warrant that all details provided to Agency 11:11 are correct and agree to notify the Agency of any changes.
1.7.2. You warrant that you have the legal right and authority to enter into this Agreement and use Agency 11:11’s services accordingly.

1.8 Indemnity
You agree to indemnify Agency 11:11 against any losses or claims arising from your breach of these Terms or from any third-party claims related to our work for you.

1.9 Limitation of Liability
1.9.1. Agency 11:11’s liability for any loss or damage shall be limited to the total fees paid for the service in question.
1.9.2. Agency 11:11 shall not be liable for indirect, consequential, or business losses (including loss of profits).
1.9.3. No claim may be brought more than one year after the issue giving rise to the claim.
1.9.4. Agency 11:11 warrants that its services will be provided with reasonable care and skill.

1.10 General Terms
1.10.1. These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, with exclusive jurisdiction in the Courts of Dubai.
1.10.2. Agency 11:11 shall not be deemed in breach of contract for delays due to causes beyond its control.
1.10.3. All quotes, proposals, and communications are confidential and may not be disclosed without prior consent.
1.10.4. These Terms constitute the entire agreement between Agency 11:11 and the Client.
1.10.5. Notices may be sent by email to info@agency1111.com or accounts@agency1111.com , and shall be deemed received on the day sent.
1.10.6. Headings are for convenience only and do not affect interpretation.
1.10.7. Nothing in this Agreement constitutes a partnership or employment relationship.
1.10.8. Agency 11:11 reserves the right to amend these Terms at any time without prior notice.
1.10.9. If any provision is found unlawful or unenforceable, the remainder shall remain valid.
1.10.10. Acceptance of services constitutes acceptance of these Terms.
1.10.11. Clients may not assign this Agreement without written permission.
1.10.12. Client communication and account management are conducted primarily via WhatsApp groups and email at info@agency1111.com and accounts@agency1111.com . Agency 11:11 aims to respond within 24 hours.

2. Digital Media, PR & Social Media Terms

2.1 Programming & Digital Services

2.1.1. Agency 11:11 ensures reasonable measures for digital security but cannot guarantee protection from all future vulnerabilities.
2.1.2. Any amendments requested after project completion will be billed at AED 400/hour.
2.1.3. Compatibility is ensured for the latest major web browsers unless otherwise agreed.

2.2 Ownership

2.2.1. Ownership of creative materials transfers to the Client upon full payment.
2.2.2. All source code, proprietary tools, and templates remain the intellectual property of Agency 11:11.

2.3 Content & Campaigns

2.3.1. The Client is responsible for providing accurate and approved content for all campaigns.
2.3.2. Agency 11:11 may partner with influencers and content creators. Such collaborations depend on availability and suitability, which cannot be guaranteed.
2.3.3. The Client is responsible for obtaining any required rights, clearances, or permissions for all materials supplied.

3. Hosting, Domains & Email Services

3.1. Agency 11:11 provides hosting and digital management via third-party partners.
3.2. 100% uptime cannot be guaranteed, and the Agency accepts no liability for losses caused by service interruption.
3.3. Non-payment may result in suspension or deletion of hosted services.
3.4. Restoration of suspended or deleted services may incur reactivation fees.
3.5. Any additional support, migration, or recovery work will be billed at AED 400/hour.
3.6. Clients must ensure lawful and ethical use of all hosted content, complying with all applicable UAE and international regulations.

4. Acceptance

By commissioning work, submitting payment, or engaging Agency 11:11’s services, the Client acknowledges and agrees to these Terms & Conditions in full.
